Terms of Service
1. Introduction and Acceptance
These Terms of Service ("Terms") form a binding legal agreement between you ("you", "your", or "User") and [PLACEHOLDER: Lecturia, Inc., a Delaware corporation with its principal place of business at {address}] ("Lecturia", "we", "us", or "our") governing your use of the Lecturia website at lecturia.ai, the web application at app.lecturia.ai, the Lecturia iOS and Android mobile applications, and any related APIs, software, and services (collectively, the "Service").
BY CREATING AN ACCOUNT, UPLOADING A FILE, OR OTHERWISE USING THE SERVICE, YOU CONFIRM THAT (A) YOU HAVE READ AND UNDERSTAND THESE TERMS, (B) YOU AGREE TO BE BOUND BY THEM, (C) YOU ARE AT LEAST 18 YEARS OLD, AND (D) YOU HAVE THE LEGAL CAPACITY TO ENTER INTO THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
These Terms incorporate by reference the Acceptable Use Policy, the Copyright & DMCA Policy, and the Privacy Policy, each of which forms part of the agreement between you and Lecturia.
2. Definitions
- "Account" means the user account you create to access the Service.
- "Content" means any files, text, images, metadata, messages, or other materials you upload to, input into, or generate through the Service, including the original ebooks, documents, and text you provide (the "Input") and the audio files and derived materials Lecturia produces on your behalf (the "Output").
- "Credits" means the in-service units used to purchase text-to-speech conversions, as described in Section 8.
- "TTS Provider" means a third-party text-to-speech service Lecturia integrates with to produce Output on your behalf, currently Google Cloud Text-to-Speech, OpenAI, ElevenLabs, Cartesia, Inworld, Mistral, Speechify and xAI, and any provider Lecturia adds or substitutes under Section 11.
- "Third-Party Terms" means the terms of service, acceptable use policies, and prohibited content policies of TTS Providers and other sub-processors through which your Content is processed.
3. Eligibility
The Service is for adults only. You must be at least eighteen (18) years old (or the age of legal majority in your place of residence, if higher) to create an Account or use the Service. By using the Service, you represent and warrant that you meet this requirement. Lecturia does not knowingly permit any person under 18 to use the Service, and if we discover that a User is under 18, we will terminate the Account and delete or anonymize their personal data as described in the Privacy Policy (Section 7), including the anonymization of financial records that Lecturia is required by law to retain.
You must also not be (a) a resident of, or located in, any country or territory subject to comprehensive sanctions by the United States, the United Kingdom, or the European Union (including, as of the Effective Date, Cuba, Iran, North Korea, Syria, Belarus, Russia, and the non-government-controlled areas of the Donetsk, Luhansk, Zaporizhzhia, and Kherson regions of Ukraine), or (b) listed on any U.S., U.K., or E.U. sanctions or prohibited-parties list.
4. Account Registration and Security
To use most features of the Service, you must register an Account. You agree to:
- Provide accurate and complete information when creating the Account and keep it updated.
- Keep your password, authentication tokens, and any account-access credentials confidential.
- Be responsible for all activity that occurs under your Account, whether or not authorized by you.
- Notify Lecturia promptly at
[email protected]if you suspect any unauthorized access to your Account.
You may not share your Account with any other person, create an Account on behalf of someone else without their express permission, or use any other user's Account. Each Account is strictly personal to the individual who created it.
5. The Service
5.1 What Lecturia does
Lecturia is a personal text-to-speech service for individuals who own ebooks, documents, or other written materials that they wish to listen to as audio. When you upload a file to the Service, Lecturia will, on your instruction and for your personal use:
- Extract the text from the file using automated tools;
- Clean and prepare the text for narration using large language models;
- Transmit segments of the text to one or more TTS Providers of your choice to generate audio in the voice you selected;
- Store the resulting audio in Lecturia's storage infrastructure;
- Make the audio available for playback and download by you and only you from your Account across Lecturia's web and mobile apps.
5.2 What Lecturia is not
Lecturia is not a publisher, distributor, marketplace, library, or reseller of books, documents, or audio. Lecturia does not:
- Sell, license, sublicense, or distribute your Content to any other User;
- Make your raw Content (your original file, extracted text, or generated audio in identifiable form) available to any other User of the Service;
- Use your Content in advertising, marketing, public promotions, or any publicity in a way that identifies you individually or discloses the specific contents of your upload;
- Sell, rent, or license your raw Content to any third party for that third party's independent commercial use.
For clarity:
- Lecturia may use Content on a de-identified and aggregated basis for the Improvement Use described in Section 6.2(6), only if you have given your consent as described there.
- Lecturia does transmit your Content to independent third-party TTS Providers as described in Sections 5.4 and 6.4, which operate under their own terms.
- Lecturia may publish aggregate, non-identifying statistics about Service usage (for example, total conversions, popular e-reader voices, language distribution, and similar totals) that are derived from Content and usage data but that do not identify you and do not disclose the specific contents of any upload.
Other than (a) sub-processors of the Service acting on Lecturia's behalf under written data-processing terms as described in Section 5.4 of these Terms and Section 5.1 of the Privacy Policy, (b) you, and (c) a limited and audit-logged group of Lecturia personnel acting for the purposes described in Section 6.6 (abuse investigation, security, support, legal compliance), no person has access to your raw, identifiable Content.
5.3 Beta features and changes
Lecturia is actively developed and features may be added, changed, or removed at any time. Lecturia may label certain features "beta" or "preview", in which case they are provided without any warranty and may be modified or discontinued without notice. Lecturia will use reasonable efforts to give advance notice of material changes that remove or degrade a feature you actively use, except changes to TTS Providers and voices, which Section 11 governs.
5.4 Third-party TTS Providers process your Content under their own terms
To generate audio on your behalf, Lecturia transmits your Input to independent third-party text-to-speech providers that you select from within the Service (currently Google Cloud Text-to-Speech, OpenAI, ElevenLabs, Cartesia, Inworld, Mistral, Speechify and xAI, and any provider Lecturia adds or substitutes under Section 11). Lecturia sends each provider only the text to be synthesized and the voice settings, from Lecturia's servers, with no user identifier, email address or other metadata about you. Each of those providers processes your Content on its own systems under its own terms of service, privacy policy, and data-use practices, which are outside Lecturia's contractual control.
Lecturia cannot and does not guarantee how any particular TTS Provider handles data it receives, including whether that provider uses the data to operate, monitor, moderate, improve, train, or evaluate its own systems or models. What Lecturia commits to do is use commercially reasonable efforts to:
- Use the API tiers, endpoints, and account-level settings that, according to each provider's then-current published policies, minimize the use of customer data for the provider's own model training (for example, the default "no training on API inputs" stance of the OpenAI API and Google Cloud's customer-data governance settings);
- Honor any "zero data retention" or "no training" option that is technically available to Lecturia for the provider tier it uses;
- Disclose the current list of TTS Providers, and any material change to that list, in the Privacy Policy (Section 5); and
- Not knowingly select a TTS Provider whose then-current published policies are materially less protective of customer data than the alternatives available to Lecturia, unless no reasonable alternative exists for the language or voice you are trying to use.
By selecting a TTS Provider and initiating a conversion, you acknowledge and consent to your Content being processed by that provider under the provider's then-current terms, and you agree that Lecturia is not responsible or liable for a provider's handling of your Content under its own terms. Links to the current terms and privacy policies of each TTS Provider are available in the Privacy Policy and in the Service. If you are not comfortable with a given provider's terms, do not select that provider; you are free to choose a different e-reader voice backed by a different provider, or not to convert your Content at all.
6. Your Content
Section 6 is the core of this agreement. Please read it carefully. It explains who owns what, what rights you grant Lecturia, what you promise about the things you upload, and how Lecturia may act if those promises turn out to be false.
6.1 You own your Content
As between you and Lecturia, you retain all right, title, and interest in and to your Input, including all intellectual-property rights. Lecturia claims no ownership of your Input. With respect to Output generated for you by the Service, as between you and Lecturia, you may use the Output for your personal, non-commercial use only, subject to (i) the rights of the underlying rightsholders of the Input, (ii) the Third-Party Terms of the TTS Provider that generated the Output, and (iii) Section 6.4 of these Terms.
6.2 Limited license you grant to Lecturia
To enable Lecturia to provide, operate, secure, and improve the Service, you grant Lecturia a non-exclusive, worldwide, royalty-free, sublicensable (only to sub-processors of the Service, including TTS Providers, acting on Lecturia's behalf) license to:
- Host and store your Input and Output in Lecturia's storage infrastructure;
- Process your Input, including extracting text, cleaning and normalizing it for narration, splitting it into chunks, detecting its language, and detecting its chapter structure;
- Transmit your Input to TTS Providers you select, for the purpose of generating Output on your behalf;
- Generate, store, and transmit Output to you across your registered devices;
- Access and review your Content, solely as necessary for the limited purposes described in Section 6.6 (abuse investigation, security, support, legal compliance) and subject to those safeguards; and
- Improve the Service, only with your consent (the "Improvement Use") -- if you have turned on the Improvement Use in your Account settings, analyze your Content and associated usage signals, on a de-identified basis where technically feasible, to (a) improve Lecturia's text-extraction, text-cleanup, chunking, chaptering, language-detection, and quality-assurance pipelines, (b) measure and improve Service reliability and audio quality, and (c) train, fine-tune, and evaluate machine-learning models that Lecturia develops for the internal purposes in (a) and (b). Lecturia will use commercially reasonable technical measures -- including de-identification where feasible, training practices designed to prevent the memorization of User Content, and access controls on the resulting models -- to ensure that the Improvement Use does not cause any User's Input or Output to be published in identifiable form or made visible to any other User or to any third party. Because no technical measure can guarantee perfect suppression of memorization in machine-learning systems, Lecturia's commitment under this paragraph is to apply these measures, not to an absolute outcome; any incident in which identifiable User Content is exposed through Improvement Use will be treated as a personal-data incident and handled in accordance with the Privacy Policy.
The Improvement Use is optional and needs your consent. It is off by default. Lecturia carries it out only after you give your consent in your Account settings, as described in Section 4.1 of the Privacy Policy, and you may withdraw that consent at any time, as easily as you gave it. Withdrawal takes effect for future use: Lecturia stops new Improvement Use of your Content. Withdrawal does not require Lecturia to unwind or delete (a) any improvement, analysis, or model training already performed, or (b) any de-identified or aggregated outputs already derived from your Content before withdrawal, but only where those outputs are not identifiable, that is, where they cannot be linked back to you and cannot be unwound. An output that is identifiable is not covered by this exception and is handled as a personal-data incident under the Privacy Policy. Refusing or withdrawing consent does not affect your use of the Service or the other purposes of the license in paragraphs 1-5.
Security, fraud, and abuse work is not part of the Improvement Use. Lecturia detects, prevents, and investigates abuse, fraud, and Service-integrity issues under paragraph 5 and Section 6.6, on the basis described in Section 4 of the Privacy Policy, not on the basis of your consent. That work continues if you refuse or withdraw consent. What stops after a withdrawal is only the new Improvement Use of your Content for the purposes in paragraph 6(a)-(c).
Limits of this license. This license is limited to the purposes in paragraphs 1-6. It is not a license to:
- Sell, rent, or license your raw Content to any third party for that third party's independent commercial use;
- Publish your Input or Output in any form that identifies you or discloses the specific contents of your upload;
- Use your Content in advertising, marketing, or publicity that identifies you individually or discloses the specific contents of your upload;
- Make your raw Content available to any other User of the Service.
The license terminates when your Content is deleted from the Service, except (a) to the extent Lecturia is required by law to retain a copy (for example, in response to a preservation order), (b) for de-identified analysis and machine-learning models already trained under the Improvement Use, which by their nature cannot be unwound, and (c) for backup retention as described in Section 6.8.
Third-party TTS Providers. Nothing in this Section 6.2 applies to, or purports to limit, the independent terms of any third-party TTS Provider to which Lecturia transmits your Input on your behalf. See Section 5.4 for Lecturia's approach to TTS Provider data handling and the limits of Lecturia's ability to control it.
6.3 Your representations and warranties about your Content
Each time you upload or submit Content to the Service, you represent and warrant that:
- You have all the rights necessary. You own the Content, or you have a license or other legal basis sufficient to grant Lecturia the rights described in Section 6.2. This includes the right to reproduce, store, process, transmit to TTS Providers, generate derivative audio from, and play back the Content for your own personal use.
- Lecturia's use will not infringe. Lecturia's processing, storage, and transmission of the Content, and its generation and storage of Output derived from the Content, in each case as authorized by you and described in Section 6.2, will not violate, infringe, or misappropriate any intellectual-property right, publicity right, privacy right, contractual right, or any other right of any person or entity.
- Your Content complies with law. The Content does not violate any applicable law, regulation, court order, or binding agreement to which you are a party, and does not fall within any category prohibited by the Acceptable Use Policy.
- You have a lawful basis for any personal data. If your Content includes personal data of any identifiable person, including yourself, you have a lawful basis under applicable data-protection law (Article 6 GDPR, and an Article 9 condition for special categories of data) for that processing, including its transmission to TTS Providers outside the European Economic Area as described in Sections 5.1 and 6 of the Privacy Policy.
- Your Content is not subject to a sanctions restriction. The Content is not subject to any export-control, sanctions, or embargo restriction that would make its processing by Lecturia or a TTS Provider unlawful.
- You will not upload other people's personal data without a lawful basis. You will not upload personal data of other people unless you have the lawful basis described in paragraph 4. Examples of such data are CVs, letters, notes, human-resources or medical records, and contact lists.
You are solely responsible for your Content and for the consequences of uploading, converting, storing, or playing it back. Lecturia is a passive host of Content that its Users upload: it does not review, vet, license, curate, or pre-screen the Content you upload, and it has no practical way to know whether any particular file is authorized. Specifically, Lecturia does not:
- Verify the source or provenance of any upload, whether that source is an official retailer (such as Amazon, Apple Books, Google Play Books, Kobo, or a publisher's website), a library, a gift, a personal file, or any other source;
- Ask you to prove that you own or lawfully obtained a particular file;
- Require a receipt, invoice, license key, activation record, or any other proof of purchase;
- Inspect files for signs of digital-rights-management (DRM) removal, re-encoding, or other modification;
- Match your uploads against any external catalog of known works or database of known infringing content at upload time, other than re-checking against cryptographic hashes of Content previously removed from your own Account under Section 6.7 for the specific purpose of enforcing a prior removal decision;
- Investigate where, when, from whom, or by what means you obtained the file.
Whether you have the legal right to upload a particular file -- and to authorize Lecturia to host, process, transmit, and play it back under Section 6.2 -- is a question between you and the rightsholder of that file, not between you and Lecturia. The risk that your upload is unauthorized, and any loss, liability, claim, damages, or expense that results from an unauthorized upload, belongs entirely to you. Your representations and warranties in this Section 6.3 and your indemnification obligation in Section 13 apply to every upload regardless of where you obtained the Content or how you obtained it.
Lecturia's absence of upload-time verification does not limit Lecturia's right, after the fact, to act on credible information that specific Content is unlawful, infringing, or in breach of these Terms or the Acceptable Use Policy, as described in Section 6.7 (Content removal), Section 14 (Copyright complaints), the Copyright & DMCA Policy, and the Acceptable Use Policy. Nothing in this Section 6.3 should be read as limiting Lecturia's entitlement to hosting safe harbor under 17 U.S.C. §512, Article 6 of Regulation (EU) 2022/2065 (Digital Services Act), or any equivalent law, or as imposing on Lecturia a general obligation to monitor Content -- an obligation that 17 U.S.C. §512(m) and Article 8 of Regulation (EU) 2022/2065 expressly provide Lecturia does not have.
6.4 Third-Party Provider terms flow down to you
You understand and acknowledge that Lecturia generates Output by transmitting your Input to TTS Providers that are independent third parties (Google Cloud Text-to-Speech, OpenAI, ElevenLabs, Cartesia, Inworld, Mistral, Speechify and xAI, and any provider Lecturia adds or substitutes under Section 11). Each of these providers has its own terms of service, acceptable use policy, and prohibited content policy, which govern what may lawfully be submitted to their systems and what you may lawfully do with the resulting audio.
By uploading Content and selecting a TTS Provider, you agree that your Input and your use of the resulting Output will comply with the applicable Third-Party Terms of that provider. Lecturia is not a party to your relationship with those providers, does not warrant their availability or output quality, and is not responsible for any restriction or remedy a provider may impose. If a TTS Provider rejects, flags, or reports your Input, Lecturia may act on that determination and may remove the affected Content or suspend your Account.
6.5 No sharing, no publication, no distribution
The Service does not provide any feature to share, publish, distribute, sell, or make available your Content to any other person. Your Content is strictly private to your Account. Lecturia will not knowingly disclose or transfer your Content to any person other than you, except:
- To TTS Providers and other sub-processors as strictly necessary to perform the Service, as described in the Privacy Policy;
- To Lecturia's own personnel under the limited-access regime described in Section 6.6;
- In response to a valid and binding legal process (subpoena, court order, statutory request), with notice to you where permitted by law and practicable;
- To protect the rights, property, or safety of Lecturia, its Users, or the public.
6.6 Lecturia's limited internal access to Content
A small number of authorized Lecturia personnel may access your Content only for the following purposes:
- Abuse investigation -- to investigate a credible report or automated signal that the Content violates these Terms or the Acceptable Use Policy;
- Security and fraud prevention -- to investigate suspected unauthorized access, account takeover, or fraudulent use of the Service;
- Support -- to diagnose a technical problem you have reported, and only with your consent or at your explicit request;
- Legal compliance -- to respond to a valid legal process, or to comply with obligations under applicable law.
Internal access to user Content is audit-logged, restricted to specifically authorized personnel, and governed by Lecturia's internal access-control policies. This is described in the Privacy Policy (Section 5 and Section 8).
6.7 Content removal and hashing
Lecturia may, at its sole discretion and at any time, remove, disable access to, or refuse to process any Content that Lecturia reasonably believes (a) violates these Terms, the Acceptable Use Policy, or the Copyright & DMCA Policy, (b) infringes a third party's rights, (c) is required to be removed by law or a Third-Party Provider, or (d) creates a material risk of harm or liability. Where practicable and lawful, Lecturia will notify you of the removal.
For abuse-prevention and repeat-infringer enforcement, Lecturia may retain a cryptographic hash, fingerprint, or limited metadata of removed Content so that the same Content cannot be re-uploaded. These retained signatures do not include the underlying text of the Content.
6.8 Deletion of your Content
You may delete an individual book, file, or audio item at any time from within the Service. Upon deletion, Lecturia will remove the item from live storage within a reasonable period and will expire the item from all routine backups within thirty (30) days. After backup expiration, the item cannot be restored.
Deletion of your entire Account is described in Section 15 (Termination) and in the Privacy Policy (Section 7).
7. Acceptable Use
Your use of the Service is at all times subject to the Acceptable Use Policy, which is incorporated into these Terms by reference. Violation of the Acceptable Use Policy is a material breach of these Terms and may result in immediate suspension or termination of your Account under Section 15.
8. Credits, Billing, and Refunds
8.1 Credit-based billing
The Service uses a credit-based billing model. One credit represents a fixed unit of value used to purchase text-to-speech conversions and other chargeable actions at the prices displayed at the time of the action. Credit prices, package sizes, and per-action costs are displayed in the Service and may change from time to time on a prospective basis.
8.2 Account tiers and freemium credit grant
Every Account has one of two tiers: freemium (the default on registration) and credits (automatically applied when you make your first successful credit purchase, on any platform, in any package). The tier is a capability flag, not a subscription - there is no recurring billing on either tier and no downgrade path from credits back to freemium.
Freemium tier. When you verify your email on registration, Lecturia deposits a one-time promotional credit grant into your Account. The grant is spendable on conversions using the lowest-cost voice models only (the exact eligible models are shown in the Service). The grant does not renew and cannot be topped up without purchasing credits. While your Account is on the freemium tier, generated audio is retained for thirty (30) days from the moment it is generated - the underlying file you uploaded and the extracted text are retained for the life of your Account, so if you later purchase credits you can re-generate any expired audio without re-uploading.
Credits tier. On your first successful credit purchase, your Account is automatically promoted to the credits tier. The promotion unlocks the full voice-model catalog and extends the retention of any audio you have already generated to the credits-tier retention period described in the Privacy Policy. You continue to purchase credits as you wish; the credits tier itself never expires and is not affected by whether your credit balance reaches zero.
The freemium tier is provided "as available" and may be modified, limited, or discontinued at any time. Lecturia reserves the right to suspend or terminate any Account that abuses the freemium tier (for example, by creating multiple Accounts, automated provisioning, or circumventing the grant).
8.3 Payment methods and processors
You may purchase credits through (a) a web payment processor (currently Stripe) when using app.lecturia.ai, or (b) in-app purchase mechanisms provided by Apple (App Store) or Google (Google Play) when using the mobile apps. Payments are processed by those providers under their own terms, and Lecturia does not store your full payment card details.
Prices displayed in the web application may differ from prices displayed in the mobile apps because of platform commissions. The Service may transparently inform you that credits are cheaper on the web as permitted by applicable platform rules.
8.4 Taxes
Prices do not include taxes, duties, or similar government charges unless expressly stated. You are responsible for all applicable sales, use, value-added, and similar taxes on your purchases. Where Lecturia is required by law to collect such taxes, they will be added to the price at checkout.
8.5 No refunds; express consent to immediate performance
Credits are non-refundable except where required by applicable law. By purchasing credits, you expressly request that Lecturia begin making the credits available immediately after purchase, and you acknowledge that, to the extent applicable law grants you a right of withdrawal or cancellation for digital content (including Articles 16(m) and 16(a) of the EU Consumer Rights Directive 2011/83/EU as implemented in your member state), you lose that right once performance has begun with your express consent and your acknowledgement of the loss of the right of withdrawal.
To the extent Lecturia is required by law to provide a refund, Lecturia will do so to the original payment method within the time required by that law. Refunds for purchases made through Apple or Google in-app purchases are governed by Apple and Google's refund policies and must be requested through those platforms.
8.6 Credits do not expire, but are forfeited on account closure
Unless otherwise stated at the time of purchase, credits you have paid for do not expire. However, if your Account is closed, suspended, or terminated for a material breach of these Terms or the Acceptable Use Policy, any unused credits are forfeited and no refund will be provided.
8.7 Chargebacks
If you initiate a chargeback or payment reversal through your payment processor for a purchase you made through the Service, Lecturia may immediately suspend your Account pending investigation. If Lecturia determines that the chargeback was unjustified, Lecturia may terminate your Account.
9. Intellectual Property of Lecturia
The Service, including all software, designs, interfaces, text, graphics, logos, trademarks, and the name "Lecturia", is owned by Lecturia or its licensors and is protected by intellectual-property laws. Lecturia grants you a limited, personal, non-transferable, non-sublicensable, revocable license to use the Service as expressly permitted by these Terms. All rights not expressly granted are reserved. You may not:
- Copy, modify, translate, adapt, or create derivative works of the Service, except as permitted by non-waivable law;
- Reverse-engineer, decompile, or disassemble the Service, except to the extent permitted by non-waivable law;
- Remove, obscure, or alter any notice of copyright, trademark, or other proprietary right appearing in the Service;
- Use any Lecturia trademark, logo, or brand element without Lecturia's prior written permission.
9.1 Feedback
If you voluntarily submit feedback, suggestions, ideas, or proposals to Lecturia ("Feedback"), you grant Lecturia a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use the Feedback for any purpose, including to improve the Service. Feedback is not treated as confidential, and Lecturia has no obligation to compensate you for it.
10. Third-Party Services and Links
The Service may integrate with or contain links to third-party services and websites, including TTS Providers, payment processors, app stores, email providers, and analytics. Your use of those services is governed by their own terms and privacy policies, not by these Terms. Lecturia does not endorse and is not responsible for any third-party service, and your dealings with third parties are solely between you and the third party.
11. Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS, AND LECTURIA AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT.
Without limiting the generality of the foregoing, Lecturia does not warrant that:
- The Service will meet your requirements or expectations;
- The Service will be uninterrupted, timely, secure, or error-free;
- The Output will be accurate, pronounce words correctly, match any particular voice characteristic, or be suitable for any use;
- Any defect will be corrected;
- The Service or any TTS Provider will be continuously available in any particular country or for any particular language;
- Any particular piece of Content you upload will be eligible for processing (for example, Content may be rejected by a TTS Provider's content filters, or may exceed length or file-format limits).
You accept that automated text-to-speech output may contain mispronunciations, misreadings, or artifacts, and that you are responsible for evaluating the Output before relying on it.
Synthesis output AS IS. Pronunciation, numbers, abbreviations, names, foreign words, emphasis, language detection, and chapter splitting are provided AS IS. Lecturia has no obligation to re-synthesize or refund for these matters, except where statutory conformity rights under Directive (EU) 2019/770 apply.
TTS Providers and voices may change. Lecturia may add, change, substitute, or remove any TTS Provider, model, or e-reader voice at any time without notice, for valid reasons. Valid reasons include a change in provider terms, pricing, availability, or quality, a legal or security risk, and a provider's discontinuation of a service. Audio already generated stays in your library. Your Credits stay usable with the remaining voices. If a conversion fails because of such a change, the Credits for it are refunded to your balance on final failure. Where a change negatively affects your access to or use of the Service more than in a minor way, and applicable law requires notice and a right to terminate (Article 19 of Directive (EU) 2019/770), Lecturia gives you that notice and right.
Provider suspension. Lecturia may suspend any TTS Provider or voice immediately, including in the middle of a conversion.
No availability commitment. Lecturia commits to no service level, uptime, or availability of any voice, language, or TTS Provider.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot be excluded or limited under applicable law, including the statutory rights of consumers under the laws of EU member states, the United Kingdom, and other jurisdictions whose consumer-protection law applies to you.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LECTURIA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE UNDER ANY THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, WARRANTY, STRICT LIABILITY, OR OTHERWISE) FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR SUBSTITUTE SERVICES, EVEN IF LECTURIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
LECTURIA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE FORM OF THE ACTION, IS LIMITED TO THE GREATER OF (A) ONE HUNDRED UNITED STATES DOLLARS (US$100), AND (B) THE AMOUNTS YOU HAVE PAID TO LECTURIA FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
The limitations in this Section 12 apply to the fullest extent permitted by law and whether or not Lecturia has been advised of the possibility of such damages. The limitations do not apply to (i) Lecturia's liability for death or personal injury caused by its negligence, (ii) fraud or fraudulent misrepresentation, (iii) any other liability that cannot be excluded or limited under applicable law, or (iv) in jurisdictions where the limitation does not apply, to the minimum extent the limitation is permitted by law. Consumers resident in the European Economic Area, the United Kingdom, and other jurisdictions whose consumer-protection law applies to you retain all statutory remedies that cannot be lawfully excluded.
The Service is offered to you at low (and for many Users, free) prices. You agree that the limitations in this Section 12 are a reasonable and proportionate allocation of risk between you and Lecturia in light of the price of the Service, and that Lecturia would not be able to offer the Service on these terms without them.
13. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend (at Lecturia's option), and hold harmless Lecturia and its officers, directors, employees, agents, suppliers, and licensors from and against any and all losses, liabilities, claims, demands, damages, expenses, and costs (including reasonable attorneys' fees and court costs) (collectively, "Claims") arising out of or relating to:
(a) your access to, use of, or inability to use the Service;
(b) your Content, including any Input you upload to the Service, any Output generated from it, and any claim that Lecturia's processing, storage, or transmission of your Content in accordance with these Terms violates the rights of any person or entity, including any intellectual-property right, publicity right, privacy right, contractual right, or any other right;
(c) your breach of any of the representations and warranties you make in Section 6.3 (Your representations and warranties about your Content);
(d) your violation of these Terms, the Acceptable Use Policy, the Copyright & DMCA Policy, the Privacy Policy, any Third-Party Terms, or any applicable law;
(e) your conduct in connection with the Service, including any interaction with other Users, sub-processors, or third parties; and
(f) any claim by a data subject, supervisory authority, or other person arising from personal data in your Content that you uploaded without a lawful basis, including regulatory costs to the extent the law allows them to be recovered.
You will cooperate with Lecturia in defending any such Claim and will pay all fees, costs, and expenses associated with defending it, including reasonable attorneys' fees. Lecturia retains the right, at Lecturia's sole option, to assume the exclusive defense and control of any Claim otherwise subject to indemnification by you, in which case you agree to cooperate with Lecturia's defense. You will not settle any Claim for which Lecturia is entitled to indemnification under this Section 13 without Lecturia's prior written consent.
This Section 13 is the clause under which, if a publisher, author, rightsholder, or any other person asserts that a file you uploaded infringes their rights, you -- not Lecturia -- are responsible for defending and resolving that claim. Please take the representations in Section 6.3 seriously.
Consumers resident in the European Economic Area, the United Kingdom, and other jurisdictions whose consumer-protection law limits indemnification obligations retain those statutory protections; nothing in this Section 13 is intended to override mandatory consumer-protection rules.
14. Copyright Complaints
Lecturia respects the intellectual-property rights of others and expects its Users to do the same. Lecturia has adopted a Copyright & DMCA Policy, incorporated into these Terms by reference, that describes:
- The process for submitting a notice of copyright infringement under the U.S. Digital Millennium Copyright Act (17 U.S.C. §512);
- The process for submitting a notice of illegal content under Article 16 of the European Union Digital Services Act (Regulation 2022/2065);
- The counter-notification procedure; and
- Lecturia's policy for terminating the accounts of users who are repeat infringers of the intellectual-property rights of others.
Valid notices must be sent to Lecturia's designated copyright agent at [email protected] and, for postal notices, to [PLACEHOLDER: {physical address}], as described in the Copyright & DMCA Policy.
15. Suspension and Termination
15.1 Termination by you
You may close your Account at any time from the Account settings page or by emailing [email protected]. When you close your Account, Lecturia will delete your Content and personal data as described in the Privacy Policy (Section 7). Any unused credits are forfeited upon voluntary Account closure and no refund will be provided, except where required by law.
15.2 Suspension and termination by Lecturia
Lecturia may suspend or terminate your Account and your access to the Service, in whole or in part, at any time, with or without notice, if Lecturia reasonably believes that:
- You have materially breached these Terms, the Acceptable Use Policy, the Copyright & DMCA Policy, or the Privacy Policy;
- Your use of the Service violates any applicable law or the rights of any third party;
- Your Account is associated with repeat infringement of intellectual-property rights (a minimum of three valid complaints within any rolling twelve-month period, as described in the Copyright & DMCA Policy);
- Your use of the Service presents a security, fraud, or compliance risk;
- Lecturia is required by law, court order, or a regulator to suspend or terminate your Account.
Where the reason for termination permits, Lecturia will notify you of the termination and, where appropriate, provide you with an opportunity to respond or cure. In cases of material breach, illegal activity, risk to security or to other Users, or legal compulsion, Lecturia may terminate immediately and without prior notice.
15.3 Effect of termination
Upon termination of your Account for any reason:
- Your right to access and use the Service ceases immediately;
- Your Content will be deleted in accordance with the Privacy Policy (Section 7), except for financial records and other information Lecturia is required to retain by law;
- Any unused credits are forfeited as described in Sections 8.6 and 15.1;
- The provisions of Sections 6.3, 6.4, 9, 11, 12, 13, 14, 15.3, 17, and 18, and any other provisions that by their nature should survive termination, will survive.
15.4 Termination for convenience by Lecturia
Lecturia may also terminate the Service in whole, or your Account for any Account-specific reason, for convenience upon thirty (30) days' prior notice to you by email or in-app notification. If Lecturia does so, Lecturia will, to the extent practicable, allow you to export your Account data as described in the Privacy Policy (Section 9) before termination takes effect and will refund any credits purchased within the previous thirty (30) days that you have not used.
16. Changes to these Terms
Lecturia may update these Terms from time to time. If Lecturia makes a material change -- for example, a change that meaningfully affects your rights, obligations, the scope of the license you grant in Section 6.2, the dispute resolution mechanism, or the limitation of liability -- Lecturia will notify you at least thirty (30) days before the change takes effect by email and by an in-app notice, and will require you to accept the updated Terms before continuing to use the Service.
Non-material changes (for example, clarifications, corrections of typographical errors, or updates to the list of TTS Providers in Section 5.4 of these Terms and Section 5.1 of the Privacy Policy) may take effect immediately upon publication.
If you do not agree to a material change, your sole remedy is to close your Account under Section 15.1 before the change takes effect, in which case you will receive a refund of any unused credits purchased within the previous thirty (30) days.
17. Governing Law and Dispute Resolution
17.1 Governing law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of [PLACEHOLDER: Ireland] (working default; subject to change when the Lecturia legal entity is incorporated in an EU member state), without regard to its conflict-of-law rules.
Consumer protection. If you are a consumer resident in the European Economic Area, the United Kingdom, or Switzerland, this Section 17.1 does not deprive you of the protection of the mandatory rules of the law of your country of habitual residence, and your statutory consumer rights remain unaffected. Where a mandatory consumer-protection rule of your country of residence conflicts with any provision of these Terms, the mandatory rule prevails to the extent of the conflict.
17.2 Informal resolution first
Before filing any formal claim, you agree to first try to resolve the dispute informally by contacting Lecturia at [email protected] and providing a brief description of the dispute and your contact information. Lecturia will attempt in good faith to resolve the dispute informally within thirty (30) days of receipt. If the dispute is not resolved within that period, either party may proceed as described below.
17.3 Dispute resolution (EU, EEA, UK, Switzerland residents)
If you are a consumer resident in the European Economic Area, the United Kingdom, or Switzerland, you may bring any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") in the courts of your country of habitual residence, and you retain all other rights granted to you by the mandatory consumer-protection law of that country. Lecturia may bring proceedings against you only in the courts of your country of habitual residence.
Lecturia does not commit to participate in alternative dispute resolution proceedings before any particular body.
For non-consumer Disputes, the exclusive courts are those of [PLACEHOLDER: Dublin, Ireland] (or the equivalent venue of the EU member state where Lecturia is incorporated), and you and Lecturia irrevocably consent to the jurisdiction of those courts.
17.4 Time limit on claims
Except to the extent prohibited by applicable law, any claim by you arising out of or relating to these Terms or the Service must be brought within one (1) year after the claim first accrues. Consumers resident in jurisdictions whose mandatory law provides for a longer limitation period retain that longer period.
18. Miscellaneous
18.1 Entire agreement
These Terms, together with the Acceptable Use Policy, the Copyright & DMCA Policy, and the Privacy Policy, constitute the entire agreement between you and Lecturia regarding the Service and supersede all prior or contemporaneous understandings between you and Lecturia on that subject.
18.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect. To the extent that any unenforceable provision can be reformed to the minimum extent necessary to make it enforceable, it will be.
18.3 No waiver
A failure by Lecturia to enforce any provision of these Terms is not a waiver of that provision or of any other provision.
18.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without Lecturia's prior written consent. Any attempted assignment in breach of this section is void. Lecturia may assign or transfer its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law, provided that your rights as a User are preserved.
18.5 Force majeure
Lecturia will not be liable for any delay or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, acts of war or terrorism, civil unrest, pandemics, strikes, power or network failures, failures of TTS Providers or other sub-processors, or governmental action.
18.6 Notices
Lecturia may send notices to you at the email address associated with your Account or through an in-app notice. You are responsible for keeping your email address current. You may send notices to Lecturia at [email protected] or at [PLACEHOLDER: {physical address}].
18.7 Relationship of the parties
These Terms do not create any partnership, joint venture, agency, fiduciary, or employment relationship between you and Lecturia.
18.8 Language
These Terms are drafted in English. Any translation is provided for convenience only, and in the event of a conflict, the English version governs, except where the law of your country of residence requires otherwise.
18.9 Apple App Store additional terms
If you access the Service through an application downloaded from the Apple App Store, you acknowledge and agree that:
- These Terms are between you and Lecturia, and not with Apple. Apple is not responsible for the Service or its content.
- Your license to use the iOS application is limited to a non-transferable license to use the application on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the App Store Terms of Service.
- Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the iOS application.
- In the event of any failure of the iOS application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the application. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever.
- Lecturia, not Apple, is responsible for addressing any claim relating to the iOS application or your possession and use of it, including: (a) product liability claims; (b) any claim that the iOS application fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
- In the event of any third-party claim that the iOS application or your possession and use of the iOS application infringes that third party's intellectual property rights, Lecturia, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim to the extent required by these Terms.
- You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and you are not listed on any U.S. Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
